A top-10 AmLaw firm is seeking a talented Transactional Tax AssociateAttorney to join its Corporate Practice Group. This is an exciting opportunity for a seasoned tax professional to advise on complex middle-market M&A and private equity transactions within a dynamic, collaborative environment.

Candidate Profile

  • JD from a top-tier law school with excellent academic credentials
  • Active Bar Admission in the relevant jurisdiction, in good standing
  • 5+ years of substantive transactional tax experience, preferably gained at an AmLaw 100 firm
  • Demonstrated experience advising on tax aspects of mergers, acquisitions, and private equity (PE) transactions in the middle market PE space
  • Strong analytical, drafting, and research skills with exceptional attention to detail
  • Excellent business judgment, organizational abilities, and interpersonal communication skills
  • Ability to manage multiple complex transactions simultaneously and work both independently and collaboratively with cross-functional teams
Key Responsibilities
  • Advise clients on the federal, state, and international tax implications of corporate transactions, including mergers, acquisitions, divestitures, and joint ventures
  • Draft, review, and negotiate tax-related provisions in transactional documents
  • Conduct detailed tax due diligence and provide risk assessments to clients and deal teams
  • Collaborate with corporate, finance, and other practice groups to deliver comprehensive tax solutions that align with clients' strategic goals
  • Stay current on evolving tax laws and regulatory developments impacting M&A and private equity transactions
  • Maintain strong client relationships through clear communication, responsiveness, and a commitment to delivering high-quality work

Compensation & Benefits
  • Annual base salary is expected to range from $365,000 - $435,000, as determined by experience, qualifications, and market factors
