Overview
The ECVC/M&A Associate will serve as a corporate attorney advising clients on financing and corporate transactions, including drafting complex commercial documents and leading deal execution and team collaboration. In addition to ECVC and M&A, the role encompasses a broad range of corporate legal matters such as entity formation, governance, and regulatory compliance.
Key Responsibilities,
• Advise clients on a wide range of financing and corporate transactions, including venture capital financing, M&A, and general commercial agreements.
• Draft, review, negotiate complex transaction documents, and lead deal execution.
• Support clients with general corporate matters, including entity formation, governance, capitalization, and regulatory compliance.
• Collaborate with partners, associates, paralegals, and local counsel across U.S. jurisdictions and internationally.
• Conduct legal research and risk analysis to provide thoughtful, strategic guidance to clients.
• Guide corporate clients and ensure compliance with rules and regulations.
• Structure, draft and review contracts and other legal documents.
• Lead client communications, including calls and written updates, to manage timelines, expectations, and deliverables.
• Negotiate effectively and close deals in a timely and efficient manner.
Qualifications
• J.D. from an accredited law school
• Admission to a U.S. state bar and in good standing
• Minimum 6 years of experience as a corporate associate or in a similar role
• Prior experience:
o Representing companies and investors in equity financing transactions, including convertible notes and bridge financings, SAFEs, and Series Seed through Series E equity rounds;
o Working on mergers and acquisitions, both buy-side and sell-side, including stock-for-stock mergers, reverse triangular mergers, and cross-border acquisitions;
o Drafting and negotiating transaction documents; and
o Revising and negotiating non-disclosure agreements, franchise agreements, manufacturing and supply agreements, distribution agreements, commission agreements, master services agreements, license agreements, terms of service, purchase orders, and other mercantile contracts and licensing agreements.
